At the XIII ordinary meeting held on June 29, 2021, the Shareholders’ Meeting adopted the decision on the distribution of the profits of previous years, the coverage of the loss of NIS jsc Novi Sad for 2020, the payment of the dividend and the determination of the total amount of retained earnings of NIS jsc Novi Sad whereby the payment of dividends to shareholders of NIS jsc Novi Sad in cash has been approved for a gross amount of RSD 1,001,190,856 or the gross amount per share of 6.14 RSD.
Shareholders of NIS jsc Novi Sad are entitled to receive payment of dividends – persons who were registered with the Central Securities Custodian and Clearing House as legal holders of shares of NIS jsc Novi Sad on the day of the shareholders (date of registration) of the XIII Ordinary Meeting of Shareholders’ Meeting i.e. June 19, 2021 (date of dividend).
For the purposes of calculating the tax on capital income and the tax on profits received by shareholders who are non-resident taxpayers on the basis of dividends paid at source and in order to apply the rate of Appropriate taxation of the agreement to avoid double taxation, please provide for your non-resident clients who held shares on the dividend date (June 19, 2021) and who are residents of the countries with which the Republic of Serbia has signed the contract for the avoidance of double taxation, a certificate of residence for 2021 certified by the competent authority the authority of the country of residence on the form prescribed by the Serbian tax authorities (POR-2) or a certificate and a certified translation of the certificate issued on a form prescribed by the competent authority of the country of residence with which the double taxation cancellation contract is signed. The certificate of residence and the certified translation of the certificate of foreign residence must be submitted by July 30, 2021.
Also, depositary banks and investment firms that hold depositary or omnibus accounts must provide their clients with the data and supporting documents of the beneficial owners of the income (for individuals: full name, address, personal identification number, and for legal entities: name, residence, tax identification number) no later than July 30, 2021.
For non-resident shareholders for whom proof of residence and a certified translation have not been provided and for shareholders for whom information and evidence on beneficial owners of income is not submitted in a timely manner, NIS will calculate, will withhold and pay tax at the applicable rate. tax rate prescribed by applicable regulations of Serbia.
Information and evidence regarding the beneficial owners of the income and the original or a certified true copy of the residence certificate should be submitted to the address of the corporate officer of NIS jsc Novi Sad: OTP banka Srbija ad Novi Sad
